本研究以日月光收購矽品的案例做為收購個案的研究，鑒於近幾年全球半導體封裝測試產業的市占板塊變動劇烈，中國大陸產業積極利用收購合併的手法，擴張公司規模，搶占市場佔有率。藉由探討過去幾年來中國大陸與韓國半導體業併購歷程與相關的文獻探討，其中包含合併收購的種類與型態、合併收購的合理動機、與目標公司常使用的防禦策略。觀察目前半導體封測業的產業趨勢，與日月光和矽品近幾年來的經營狀況與財務表現，以研究與推論引發日月光收購矽品的主要動機，整理整個收購的歷程，了解過程中日月光與矽品的攻防策略。以及個案公司過去是否有合併或收購其他公司的經驗與歷程，再分析兩間個案公司主要經營團隊的實力，最後探討為何日月光與矽品要成立「控股公司」，以「兄弟登山、各自努力」的競合關係經營，而不是直接消滅矽品的原因，以及控股公司即將面對的挑戰與未來整合策略規劃的方向，讓台灣半導體產業能永續生存與發展。

This study uses the case of ASE acquiring SPIL. In view of the drastic changes in the market share of the global semiconductor packaging and testing industry in recent years, China’s industries have actively used the merger and acquisition tactics to expand the company’s scale and seize market share. According to exploring the history of mergers and acquisitions in the semiconductor industry in China and South Korea over the past few years and related literature discussions, including the types and reasonable of mergers and acquisitions, and defense strategies commonly used by target companies. Observe the current industrial trends in the semiconductor packaging and testing industry, financial performance of the ASE and SPIL in recent years, researching and reasoning triggered the main motives of the ASE acquiring SPIL, collating the entire acquisition process, and the offensive and defensive of them. In the past, did the case company have the experience and history of merging or acquiring other companies, then, analyze the strengths of the main operating teams of the two case companies. Finally, we will discuss why ASE and SPIL was necessary to establish a “holding company”. Operating company individually, rather than directly eliminating SPIL, and the challenges the holding company is about to face and the direction of future strategic planning, so that Taiwan's semiconductor industry can continue to survive and develop.
