摘 要
企業的組織架構必須確認所處產業環境的變化，即時進行經營策略調整或組織架構變革，訂出可行的經營策略，才能永續經營。影響企業經營策略與組織架構，最重要的因素包括技術的變遷、市場的變遷及法令規章的變遷。

本研究發現，中油公司由於面臨法令規章的重大改變，不再享有獨占的地位，在市場開放、競爭程度提高的雙重衝擊中，無法在既有組織架構下，以細微調整經營策略方式來因應，因此不得不進行組織架構的變革，由集權化的組織架構，改變為分權化的組織架構。由於中油公司各部門之間具有很高的關連性，為了降低治理成本，中油公司非但不能切割成子公司的型態，亦即H-form組織架構方式，反而需要往石化業中下游整合，以發揮一加一大於二的策略整合的綜效。所以中油公司組織調整的最適化選擇即為M-form方式調整。中油公司下一階段的改革策略，本文建議主要有(1)高階主管的薪資報酬更應該和企業的盈餘緊密結合(2)提高整個企業之誘因強度，建立激勵與獎金制度(3)組織架構扁平化及建立真正的利潤中心化部門。

其次本研究之目的主要是說明
(一)分析大規模企業的組織架構- U-form、H-form與M-form等三種管理架構，所呈現高階主管和部門經理人之間的委託-代理關係、管理特性與效率作比較，分析分權化的利益與成本，並依據高階主管與部門經理之間決策權分配的程度，來分析現代大規模多角化的企業組織架構的最適化選擇。

(二)本研究以策略性合作需求的高低和專業性知識差異度高低來分析現代大型企業組織架構所具有的特殊的組織治理特性，作為組織架構選擇的維度。

在台灣的大型企業中，以台積電、聯電為代表的晶圓代工產業，由於符合策略性合作需求高專業性知識差異度低，必須善用高階主管之策略性資訊的特性，所以其管理架構的最適化選擇為U-form方式的組織架構。

鴻海公司具有專業性知識差異度高以及策略性合作需求高的特性，所以採取M-form組織架構是最適化之選擇。

至於以組織變革聞名的宏?痐膝q其第一次組織變遷主要是符合專業性知識差異度高以及策略謝合作需求高的特性，所以採取M-form組織架構是最適化之選擇。而第二次組織變遷主要是符合專業性知識差異度高以及策略謝合作需求低的特性，所以採取市場機制是最適化之選擇。
