「民營化」的政策工具已普遍成為各國政府辦理公共服務的方式，也逐漸成為經營不善、績效不彰的公立醫院圖思變革的選擇。公共服務民營化是國內目前社會福利政策落實的一項新行動，此也已成為兼具服務屬性的公立醫院圖思變革的新方向，希冀透過具有問責性之績效評估新行動，以求在競爭日趨激烈之醫療服務市場中能永續經營。
醫院之「公辦民營」雖然有其政策選擇上的優越性，但在推動之實務面上，由於仍處於「邊做邊學」之時期，法令修改配套性、委託過程公平性、契約本身適法性等法律議題，以及監督者與經營者間的權、責、利關係，如對現有人員之安置等管理議題均必須慎思、明辨，以降低醫院「公辦民營」之交易成本。
本文不僅從宏觀問責性角度剖析，在訂定醫療政策及完善醫療產業網絡方面，為達成醫療資源配置效率及社會公平正義而論，政府有其應扮演的角色；更從微觀的管理面層次探討公辦民營之醫院除了讓醫護人員瞭解政府與醫院之契約內容規定及未來達成的最終結果外；如能在績效評估標準之訂定，與醫護人員透過「參與管理」、「程序公平」的管理工具，讓醫護人員清楚的瞭解醫院對醫護人員的期望以及工作績效和獎懲的衡量標準，透過醫院管理階層與醫護人員間互信的建立，使得醫護人員願意主動配合醫院的決策，即使在犧牲個人短期利益下，也願意為醫院的長遠利益奉獻心力。
